Terms of Service

These terms govern your use of the Cuelor desktop application, the Cuelor command-line tool and agent skill, the cuelor.com website, and Cuelor cloud services (together, the "Services"), provided by Cuelor Labs LLC ("we", "us").

1. Your account

Some features require an account. You are responsible for activity under your account and for keeping your sign-in methods secure. You must be at least 18 years old, or the age of majority where you live.

2. License to the software

We grant you a personal, non-exclusive, non-transferable license to install and use the Cuelor app on Macs you own or control, according to your plan. Cuelor Full is a perpetual license to the major version you purchased and includes at least one year of updates. You may not resell, sublicense, reverse engineer or circumvent license checks of the software, except as permitted by law.

3. Subscriptions and credits

Subscriptions renew automatically each billing period until cancelled. You can cancel at any time; access continues until the end of the paid period.
Credits are used for cloud generation (for example images, video and voice). Credits have no cash value, cannot be transferred, and the credit cost of each request is shown before you submit it.
Subscribers with 12 consecutive paid months receive a perpetual Cuelor Full license for the version current at that time.

4. Your content

You keep all rights to the projects, scripts, media and films you create. Projects are stored on your device. When you use cloud services, you grant us the limited rights needed to process your request and return the result. Generated output is also subject to the terms of the model provider that produced it, which we list for each model.

5. Acceptable use

Do not use the Services to create unlawful content, to infringe others' rights, or to deceive people.
Only clone or imitate a voice that is your own, or for which you have the owner's written permission.
Do not interfere with, overload, or attempt to gain unauthorized access to the Services.

6. Payments

Payments are processed by our payment provider. Prices are shown in USD and may include applicable taxes. See our Refund Policy.

7. Termination

You may stop using the Services at any time. We may suspend accounts that violate these terms. Termination does not affect files stored on your device.

8. Disclaimers and limitation of liability

The Services are provided "as is". To the extent permitted by law, we are not liable for indirect or consequential damages, and our total liability is limited to the amount you paid us in the 12 months before the claim.

9. Changes and governing law

We may update these terms and will notify you of material changes. These terms are governed by the laws of the State of [Delaware / California — to be confirmed].
